Andrea L. Bacchi, Of Counsel to the firm, is a member of the firm's corporate and securities group. Ms. Bacchi's practice focuses on business formations, conversions and dissolutions, purchases and sales, mergers and acquisitions, liquidations, business contracts and general business counseling. Ms. Bacchi also has experience with corporate and estate and gift taxation, securities, real property and estate planning transactions in a business context. Before becoming a lawyer, Ms. Bacchi worked for the California State Legislature as a legislative aide in the Senate and as a legislative director in the Assembly.

• Represented donor in charitable donation of 145 acres of real property to a California County as a qualified conservation contribution under Federal tax laws.

• Represented state agency in $20+ million portfolio loan sale to out-of-state bank.

• Represented company in multi-million dollar buy-out of principal shareholder and restructuring and collateralization of related entities.

Business Formation and Counseling

• Obtained a favorable opinion letter from the California Attorney General in defense of the interests of an educational nonprofit corporation.

Mergers and Acquisitions

• Assisted in the drafting, negotiating and closing of a $24 million stock sale on behalf of 23 sellers to an out-of-state corporate purchaser.

• Negotiated and closed an $18+ million stock sale with an out-of-state corporate purchaser.

• Conducted due diligence review of an out-of-state cooperative corporation with $3 billion in sales for purposes of a merger with a California client.

• Closed various real estate purchases and sales in connection with business acquisitions.

• Represented company in $2.3 million repurchase and liquidation of foreign LLC member.

• Represented agricultural partnership in conversion of entity, sale of majority interests to out-of-state purchaser and sale of related real property.
